Welcome to www.cisoteria.com (together with its sub-domains, content, marks and services, the “Site“). Please read the following Terms of Use carefully before using this Site so that you are aware of your legal rights and obligations toward CISOteria Ltd. (“CISOteria“, “we“, “our” or “us“). By accessing or using the Site, you expressly acknowledge and agree that you are entering into a legal agreement with us and that you have understood and agree to comply with, and to be legally bound by, these Terms of Use, together with the Privacy Policy (the “Terms“). You hereby waive any applicable right to require an original (non-electronic) signature or the delivery or retention of non-electronic records, to the extent not prohibited under applicable law.

If you do not agree to be bound by these Terms, please do not access or use the Site.

1. Background. The Site is intended to provide information and content services regarding the Company and its products, and to allow users to try the calculators offered on the Site (the “Service“).
2. Changes. We reserve the right, at our discretion, to modify these Terms at any time. Following such changes, your continued use of the Site means that you accept these changes.
3. Ability to accept the Terms. The Site is intended solely for individuals eighteen (18) years of age or older. If you are under the age of 18, please do not visit or use the Site.
4. Access to the Site. For the period during which these Terms are in effect, we hereby grant you permission to visit and use the Site, subject to your compliance with these Terms and applicable law.
5. Restrictions. You shall not: (i) impersonate any person or entity and/or upload or transmit false or misleading content; (ii) copy, distribute, adapt, modify, decompile or reverse-engineer any of the Site’s components; (iii) distribute “spam” or flood the Site’s servers with any other mail; (iv) use, modify, create derivative works of, transfer (by sale, resale, license, sublicense, download or otherwise), reproduce, distribute, display or disclose Content (as defined below), except as expressly permitted herein; (v) disrupt servers or networks connected to the Site; (vi) use or operate any automated system (including without limitation “robots” and “spiders”) to access the Site; (vii) circumvent, disable or otherwise interfere with security-related features of the Site or features that prevent or restrict the use or copying of any Content or that enforce limitations on the use of the Site; (viii) place the Site or any part of it within a variety (frame) of another website, or as part (mirror) of another website, without obtaining the Company’s prior written consent; (ix) collect information about the Site’s users, or sell, distribute and/or make commercial use of the information contained in the Site, or make any other use in a manner that may harm another person; and (x) link to the Site from a site that contains pornographic content, content that encourages racism or discrimination, or that is unlawful, or the publication of which is unlawful, or that encourages unlawful activity.

   Notwithstanding the foregoing, the Company may prevent any person from using the Site, temporarily or permanently, at its sole discretion and without prior notice, including in any of the following cases: (i) the user committed an unlawful act or violated the provisions of the law; (ii) the user breached one of these Terms of Use; (iii) the user knowingly provided incorrect information during registration and/or thereafter; (iv) the user committed an act or omission that may harm the Company and/or anyone on its behalf and/or the proper operation of the Site.

6. The Calculators service. The Site allows users to use two types of calculators for identifying the level of information security in an organization and for identifying the organization’s level of risk (the “Calculators“), which enable, based on the user’s answers to the questionnaire presented on the Site, an assessment of the security-level classification and the organization’s level of risk and exposure in terms of information security.

   It is clarified that the results displayed by the Calculators, as well as the list of recommendations presented to the user (together: the “Results and Recommendations“), constitute an estimate only, are based on the data supplied by the user, do not constitute legal advice, and may not be relied upon as such. The user shall be solely responsible for their reliance on the Results and Recommendations, and the Company shall have no liability in respect thereof.

7. Intellectual Property Rights.
   1. Content and Marks. (i) The Content on the Site, including without limitation the text, documents, articles, brochures, descriptions, products, software, graphics, images, sound, video, interactive features and services (the “Content“), and (ii) the trademarks, service marks and logos contained therein (the “Marks“), are the property of CISOteria and/or its licensors and may be protected by copyright laws or other applicable intellectual property laws and treaties. “CISOteria”, the CISOteria logo, and other marks are marks of CISOteria or its affiliated companies. All other trademarks, service marks and logos used on the Site are the trademarks, service marks or logos of their respective owners. We reserve all rights not expressly granted in the Site and the Content.
   2. Use of Content. The Content on the Site is provided to you for your information and personal use only and may not be used, modified, copied, distributed, transferred, transmitted, displayed, sold, licensed, decompiled or otherwise exploited in any other way for any other purpose without our prior written consent. If you download or print a copy of the Content, you must retain all copyright and other proprietary notices contained therein.
8. Description of information. We strive to be as accurate as possible. However, we cannot and do not warrant that the Content available on the Site is accurate, complete, reliable, current or error-free. We reserve the right to make changes to the Content, or any part of it, at our sole discretion, without any requirement to give any notice before or after making such changes to the Content. Your use of the Content, or any part of it, is solely at your own risk.
9. Links.
   1. The Site may contain links, and may allow you to post content, to third-party websites that are not owned or controlled by CISOteria. We are not affiliated with, have no control over, and assume no responsibility for the content, privacy policies or practices of any third-party sites. You: (i) are solely and exclusively responsible for your use of and linking to third-party sites and for any content that you may send or post on a third-party site; and (ii) expressly release CISOteria from any liability arising from your use of any third-party site. Accordingly, we recommend that you read the terms and privacy policy of every third-party site that you may choose to visit.
   2. CISOteria permits you to link to the Site provided that: (i) you link to but do not replicate any page on this Site; (ii) the link text accurately describes the Content as it appears on the Site; (iii) you do not misrepresent your relationship with CISOteria or present false information about CISOteria, and do not in any way imply that we endorse any services or products, unless we have given you our express prior consent; (iv) you do not link from a website (a “Third-Party Site“) that prohibits linking to third parties; (v) such Third-Party Site does not contain content that (a) is offensive or controversial (both at our discretion), or (b) infringes any intellectual property, privacy rights, or other rights of any person or entity; and/or (vi) you, and your website, comply with these Terms and applicable law.
10. Privacy. We will use any personal information that we may collect or receive in connection with the Site in accordance with our Privacy Policy. You agree that we may use personal information that you provide or make available to us in accordance with the Company’s Privacy Policy.
11. Disclaimer of Warranties.
    1. This section applies whether or not the services provided through the Site are for a fee. Applicable law may not permit the exclusion of certain warranties, and therefore certain exclusions set forth herein may not apply.
    2. The Site is provided on an “as is” and “as available” basis, and without warranty of any kind, whether express or implied. CISOteria hereby disclaims all warranties, express or implied, including but not limited to the implied warranties of merchantability, title, fitness for a particular purpose, non-infringement, and those arising by operation of law or from a course of dealing or trade usage. CISOteria does not warrant that the Site will be free of bugs, security breaches or virus attacks. The Site may from time to time be unavailable for routine maintenance, upgrades or other reasons. You agree that CISOteria shall not be held liable for any consequence to you or to any third party that may result from technical problems of the internet, slow connections, traffic congestion or overload of our or others’ servers. We do not warrant, endorse or guarantee any content, product or service displayed or published on the Site by a third party.
    3. Except as expressly stated in our Privacy Policy, CISOteria makes no representations, warranties or conditions of any kind, express or implied, regarding the security of any information you provide or activities you engage in during your use of the Site.
12. Limitation of Liability.
    1. To the maximum extent permitted by law, CISOteria shall not be liable for any direct, indirect, exemplary, special, consequential or incidental damages of any kind, or for any loss of data, revenue, profits or goodwill, arising out of these Terms or your use of the Site, or your inability to use it, even if CISOteria has been advised of the possibility of such damages or losses. Certain jurisdictions do not permit the limitation or exclusion of liability for incidental or consequential damages, and therefore the above limitations may not apply to you.
    2. In no event shall CISOteria’s aggregate liability for any damages arising out of these Terms or your use of the Site, or your inability to use it, exceed the total amount of the usage fees, if any, that you paid to CISOteria for the use of the Site during the three (3) months preceding the filing of the claim.
13. Term and Termination. These Terms are effective until terminated by CISOteria or by you. CISOteria, at its sole discretion, reserves the right to terminate these Terms and/or your access to the Site, or any part of it, immediately at any time and with or without cause (including, without limitation, for a breach of these Terms). CISOteria shall not be liable to you or to any third party for the termination of the Site, or any part of it. If you object to any term of these Terms, or to any change made to them in the future, or if you are dissatisfied with the Site in any way, your sole remedy is to immediately cease using the Site. Upon termination of these Terms, you shall cease all use of the Site. This Section 13 and Sections 7 (Intellectual Property Rights), 10 (Privacy), 11 (Disclaimer of Warranties) through 15 (General) shall survive the termination of these Terms.
14. Governing Law and Jurisdiction. CISOteria reserves the right to discontinue or modify any aspect of the Site at any time. These Terms and the relationship between you and CISOteria shall be governed by and construed in accordance with the laws of the State of Israel, with exclusive jurisdiction vested in the courts of Tel Aviv, Israel, without regard to its conflict-of-law principles.
15. General. These Terms shall constitute the entire agreement between you and CISOteria regarding the Site. If any provision of these Terms is held void by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall continue in full force and effect. A waiver of any term of these Terms shall not be deemed a further or continuing waiver of that term or of any other term, and a party’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
16. Contact us. The Company adheres to the provisions of the law and respects the right of the Site’s users to privacy and to a good name.
